Important Notice – Please Read Carefully
These Terms and Conditions apply to the supply of goods and services by Solent Power Ltd to individuals acting as consumers (i.e. for personal use and not in the course of business). They set out your legal rights and obligations, including what you can expect from us and what we expect from you.
By placing an order with Solent Power Ltd whether through our website, over the phone, by email, or in person you confirm that you are purchasing as a consumer and agree to be bound by these Terms in full.
These Terms comply with the Consumer Rights Act 2015 and other relevant UK legislation, and include details about your rights to cancellations, returns, refunds, and guarantees.
If you are purchasing on behalf of a business, organisation, or as part of a commercial activity, these Consumer Terms do not apply. Please refer instead to our Business Terms and Conditions.
If you are unsure whether these Terms apply to you, please contact us before placing an order
1. Introduction
1.1 These Terms and Conditions (“Terms”) apply to the sale and supply of goods, services, and ongoing support (such as maintenance or monitoring) by Solent Power Ltd (“we”, “us”, “our”) to consumers (“you”, “your”). If you are a business or acting on behalf of a business, these Terms do not apply to you — please contact us to request our business terms.
1.2 By placing an order with us, you agree to be bound by these Terms. If you do not accept them, please do not proceed with your order.
1.3 These Terms apply to all sales of goods and provision of services, whether placed via our website, over the phone, or in person.
2. Information About Us
2.1 Solent Power Ltd is registered in England and Wales under company number 12622565, with our registered office at Solent Power Ltd, Station Yard, Bowes Hill, Rowland’s Castle, PO9 6BP, England.
2.2 Full details of Solent Power Ltd and our business can be found on our website. Key information regarding specific orders or contracts will be provided to you in writing prior to the commencement of any goods, services, or works.
3. Orders and Contract Formation
3.1 You are deemed to have accepted these Terms upon either:
3.1.1 Your acceptance of our quotation or written confirmation of an order; or
3.1.2 When we begin delivering goods or performing services for you — whichever occurs first.
3.2 These Terms, together with our quotation or written confirmation of order (the “Contract”), form the entire agreement between us and override any previous discussions, correspondence, or agreements.
3.3 If we are unable to proceed with your order or quotation for any reason, we will let you know within a reasonable time and refund any payment already made within 14 days.
3.4 We reserve the right to cancel or suspend your order at any stage without liability, including but not limited to where:
3.4.1 Goods are unavailable or out of stock,
3.4.2 Payment has not been authorised or received,
3.4.3 There is an error in the pricing or description of the goods or services, or
3.4.4 Fulfilling the order becomes commercially unreasonable or impossible due to unforeseen circumstances.
3.5 Order Hierarchy
If there is any inconsistency between these Terms and anything stated in your order, our quotation, or other communications, these Terms shall prevail unless we have expressly agreed otherwise in writing.
4. Description and Availability of Goods and Services
4.1 We take care to ensure that all goods and services are accurately described in our quotations, on our website, and in any marketing materials. However, you acknowledge that:
4.1.1 Minor variations in appearance, specification, or performance may occur due to manufacturing changes or supplier substitutions; and
4.1.2 All descriptions and images are provided for illustrative purposes only and do not form part of the contract unless explicitly stated.
4.2 All goods and services are subject to availability. If a product or service becomes unavailable after you place an order, we will:
4.2.1 Notify you as soon as reasonably possible; and
4.2.2 Offer an alternative of equal or issue a full refund — at your discretion.
4.3 Any promotional pricing, discounts, or special offers are subject to stock availability and may be withdrawn or changed at any time without notice.
5. Pricing and Payment
5.1 The prices for our goods and services shall be contained within the quotation.
5.2 Prices are displayed in GBP and include VAT where applicable. Prices are subject to change without prior notice, but changes will not affect orders already placed and accepted.
5.3 If the rate of VAT changes between your order date and the date we supply the goods and/or services, we adjust the rate of VAT that you pay, unless you have already paid in full before the change in the rate of VAT takes effect.
5.4 Full payment is required at the time of order unless otherwise agreed in writing. However, for some goods and services we take payment at regular intervals, as explained to you in our quotation. Time for payment will be of the essence of the contract.
5.5 If a pricing error is discovered after order confirmation, we will contact you to either reconfirm the order at the correct price or cancel it and provide a full refund.
5.6 If you do not pay when required and in line with the contract, we reserve the right to suspend or cancel your order until the matter is resolved.
5.7 You must also pay us for any additional services provided by us that are not specified in the quotation in accordance with our then current, applicable hourly rate in effect at the time of performance or such other rate as may be agreed between us.
5.8 If we’re unable to collect any payment you owe us, we can charge interest on the overdue amount at the rate of 4% a year above the Bank of England base rate from time to time. This interest accrues on a daily basis from the due date until the date of actual payment of the overdue amount, whether before or after judgment. You will pay us the interest together with any overdue amount.
5.9 If payment is not received by the due date, we reserve the right to charge interest on overdue amounts at 4% per annum above the Bank of England base rate. This interest accrues daily from the due date until full payment is made. Additionally, we reserve the right to charge reasonable administrative and legal costs incurred in recovering overdue amounts.
6. Delivery of Goods
6.1 We aim to deliver goods within the estimated timeframe stated on our website or order confirmation. However, such timeframes will be estimates only and we will not be liable for any timeframe missed.
6.2 Risk of loss or damage transfers to you upon delivery, but ownership remains with us until full payment is received. If payment is not made, or a chargeback is initiated for any amounts paid under the order, we reserve the right to reclaim the goods and recover associated costs from you.
6.3 If delivery fails due to any incorrect address details provided by you, you will be charged and be liable for redelivery.
6.4 If we’re supplying the goods to measurements you provide, you’re responsible for making sure those measurements are correct.
7. Supply of Services
7.1 We will use reasonable care and skill when providing our services to you.
7.2 We will use our reasonable endeavours to complete the performance of the services within the time as set out in the quotation. However, time shall not be of the essence in the performance of our obligations and any timeframe stated shall be an estimate only and we will not be liable for any timeframe missed.
7.3 If services require your cooperation (e.g., providing access to premises or equipment), failure to comply may result in delays and additional charges which you will be liable to pay.
8. Your Obligations
8.1 You must obtain any permissions, consents, licences or otherwise that we need and must give us with access to any and all relevant information, materials, properties and any other matters which we need to provide the services or to deliver the goods to you.
8.2 We are not liable for any delay or failure to provide the services if this is caused by your failure to comply with the provisions of this section.
8.3 If we cannot deliver goods or perform services due to lack of access, you fail to prepare the site as agreed, if you don’t give us information we’ve asked for, or any other customer-related delays, we may charge you additional fees, which will be payable by you. These will be charged at our standard hourly rate and added to your invoice.
9. Manufacturer Warranties
9.1 Some goods we sell may be covered by a manufacturer’s warranty. The terms and duration of these warranties are determined by the manufacturer.
9.2 You are responsible for complying with any maintenance, usage, or installation instructions specified in the manufacturer’s warranty. Failure to comply may void the warranty.
9.3 If a manufacturer’s warranty is voided due to your non-compliance, we accept no liability for any resulting loss, and we will not be responsible for providing repairs, replacements, or refunds beyond your statutory rights.
9.4 It is your responsibility to register any manufacturer warranties where required and to retain proof of purchase to validate a warranty claim.
9.5 Where you need to rely on any manufacturer warranties, we will provide assistance where possible.
10. Delays Outside of Our Control
10.1 If our supply of goods or services is delayed by an event outside our control (such as supply chain issues, courier delays, natural disasters, strikes, governmental actions or adverse weather conditions), we will contact you as soon as possible to let you know and do what we can to reduce the delay. As long as we do this, we won’t compensate you for the delay, but if the delay continues for 90 days or more you can contact our Customer Service Team to end the contract and receive a refund for any goods and/or services you have paid for in advance, but not received.
11. Cancellation
11.1 If you change your mind about your order and wish to cancel it, you must let us know, in writing to info@solentpower.co.uk, no later than 14 days after:
11.1.1 The day we deliver your goods.
11.1.2 The day we confirm we have accepted your order, if it is for a service.
11.2 If your notice is in relation to services, or any goods that haven’t been dispatched, we refund you as soon as possible and within 14 days of you telling us you’ve changed your mind. If your notice is in relation to goods that you’re sending back to us, we refund you within 14 days of receiving them back from you. We refund you by the method you used for payment. We don’t charge a fee for the refund.
11.3 Certain items are exempt from cancellation rights, including but not limited to custom-made goods.
11.4 You are responsible for return shipping/collection costs unless the goods are faulty or incorrect.
11.5 You cannot change your mind about an order for:
11.5.1 Services, once these have been completed;
11.5.2 Goods sealed for health protection or hygiene purposes, once these have been unsealed after you receive them;
11.5.3 Goods that are made to your specifications or are clearly personalised; and
11.5.4 Goods which become mixed inseparably with other items after their delivery.
11.6 In relation to services, you must pay for services you received before you change your mind. If you have ordered a service from us, we do not refund you for the time you were receiving it before you told us you had changed your mind.
11.7 We reduce your refund if you have used or damaged the goods. If you handle the goods in a way which would not be acceptable in-store, we reduce your refund, to compensate us for its reduced value. For example, we reduce your refund if the good’s condition is not “as new”, price tags have been removed, the packaging is damaged or accessories are missing. In some cases, because of the way you have treated the goods, no refund may be due.
11.8 For ongoing subscription services, such as Telemetric, Fuel Monitoring, we will tell you when and how you can end an on-going contract with us during the order process and we confirm this information to you in writing in the quotation.
12. Faulty Goods and Services
12.1 If you think there is something wrong with the goods or services provided to you, you must contact our Customer Service Team. We honour our legal duty to provide you with goods and services that are as described to you and that meet all the requirements imposed by law.
12.2 If goods or services are faulty, you may be entitled to a repair, replacement, price reduction, or refund under UK consumer law.
13. Changes
13.1 We can always change the goods and/or services:
13.1.1 To reflect changes in relevant laws, regulatory requirements and safety requirement; and
13.1.2 To make minor technical adjustments and improvements. These are changes that don’t affect your use of the goods and/or services.
13.2 We may update these Terms from time to time. The latest version will always be available on our website.
13.3 Continued use of our services after changes are published constitutes acceptance of the new Terms.
14. Suspension
14.1 We can suspend the supply of goods and/or services. We do this to:
14.1.1 Deal with technical problems or make minor technical changes;
14.1.2 Update the goods and/or services to reflect changes in relevant laws and regulatory requirements; or
14.1.3 Make changes to the goods and/or services.
14.2 We will contact you in advance to tell you we’re suspending supply, unless the problem is urgent or an emergency. If we suspend the supply of goods and/or services we adjust the price so you don’t pay for it while it’s suspended. If we suspend supply, or tell you we’re going to suspend supply, for more than 90 days you can contact our Customer Service Team to end the contract and we’ll refund any sums you’ve paid in advance for goods and/or services you won’t receive.
15. Withdrawing Goods and Services
15.1 We can stop providing services, such as an ongoing service. We let you know at least one week in advance and we refund any sums you’ve paid in advance for any goods or services which won’t be provided.
16. Ending Our Contract With You
16.1 We can end our contract with you for goods and/or services and claim any compensation due to us (including enforcement costs) if:
16.1.1 You don’t make any payment to us when it’s due and you still don’t make payment within 7 days of our reminding you that payment is due;
16.1.2 You don’t, within a reasonable time of us asking for it, provide us with information, cooperation or access that we need to provide the goods and/or services; or
16.1.3 You don’t, within a reasonable time, either allow us to deliver the goods to you or collect it from us.
17. Liability
17.1 We’re not responsible for losses you suffer caused by us breaking this contract if the loss is:
17.1.1 Unexpected. It was not obvious that it would happen and nothing you said to us before we accepted your order meant we should have expected it (so, in the law, the loss was unforeseeable).
17.1.2 Caused by a delaying event outside our control.
17.1.3 Any form of business losses. Such as loss of profits, loss of anticipated profits, loss of business, loss of data, loss of reputation or goodwill, business interruption or loss of business opportunity.
17.1.4 Avoidable. Something you could have avoided by taking reasonable action. For example, damage to your own property, which was caused by the goods we supplied and which you could have avoided by following our advice or by correctly following the installation instructions or any other instructions as advised by us.
17.2 Nothing in these Terms limits liability for death, personal injury, fraud or any other instance where it would be unlawful to do so.
17.3 Our maximum liability for any claim related to the goods or services under these Terms shall not exceed the price paid by you for the relevant goods or services.
18. Data Protection
18.1 How we use any personal data you give us is set out in our Privacy Notice: https://www.solentpower.co.uk/privacy-cookie-policy/.
19. Intellectual Property
19.1 We reserve all rights in copyright and any other intellectual property rights which may subsist in any goods supplied or in connection with the provision of the services. We reserve the right to take any appropriate action to restrain or prevent the infringement of such intellectual property rights.
20. Complaints
20.1 Should you have any reason to complain about the goods or services, please contact our Customer Service Team who will do their best to resolve any problems you have with us or our goods and/or services.
21. General Terms
21.1 We can transfer our contract with you so that a different organisation is responsible for supplying your goods and/or services. We’ll contact you to let you know if we plan to do this. We may also subcontract or delegate in any manner any services provided under this contract or any of our obligations under this contract.
21.2 You can only transfer your contract with us to someone else if we agree to this.
21.3 Nobody else has any rights under this contract. This contract is between you and us. Nobody else can enforce it and neither of us will need to ask anybody else to sign-off on ending or changing it.
21.4 If a court invalidates some of this contract, the rest of it will still apply. If a court or other authority decides that some of these terms are unlawful, the rest will continue to apply.
21.5 Even if we delay in enforcing this contract, we can still enforce it later. We might not immediately chase you for not doing something (like paying) or for doing something you’re not allowed to, but that doesn’t mean we can’t do it later.
21.6 The contract and these Terms are governed by the laws of England and Wales.
